These Terms & Conditions ("Terms") govern your access to and use of Seatzo, including the Seatzo website, mobile web experience, applications, APIs exposed to clients, and related features (collectively, the "Service"). The Service is operated by SEATZO INNOVATION LABS PRIVATE LIMITED ("Seatzo", "we", "us" or "our").

By creating an account, requesting an OTP, continuing through an authentication flow, accessing an authenticated feature, purchasing a Connect Pass, creating a listing, connecting to another commuter, or otherwise using the Service, you agree to these Terms and the Privacy Policy. If you do not agree, do not use the Service.

Where a specific action requires a separate confirmation, the more specific confirmation supplements these Terms and does not reduce any mandatory rights you have under applicable law.

Seatzo is a real-time commuter connection and coordination platform. It helps users make temporary seat availability visible, discover relevant listings, connect with another commuter, and coordinate a handoff.

Seatzo is not a metro or railway operator, transport provider, travel agent, ticketing authority, or seat-allocation authority. Seatzo does not own the metro trains or physical seats shown through the Service, and a Seatzo connection does not reserve a physical seat with any transport operator.

A listing, connection, or Connect Pass therefore does not guarantee that a physical seat will remain available, that another commuter will honour a handoff, or that a train will operate as expected.

You must be legally capable of entering into a binding agreement under applicable law and must satisfy any minimum-age or other eligibility requirements Seatzo communicates for the Service. If a law requires a higher age for a particular feature, that higher threshold applies.

You are responsible for maintaining accurate profile information, protecting your authentication devices and OTPs, and promptly reporting suspected unauthorized access. One person must not create or operate accounts in a way that is intended to evade restrictions, manipulate rewards, impersonate another person, or interfere with the integrity of the marketplace.

Seatzo may require additional verification or restrict functionality where reasonably necessary for safety, fraud prevention, legal compliance, or protection of users and the Service.

A Provider is a user making an available seat visible through the Service. A Seeker is a user looking to connect with a Provider. Users may switch roles over time.

Providers must create genuine listings, use accurate train and coach information, and must not create a listing when they do not reasonably expect to have the represented seat available. Seekers must use the Service for genuine seat connections and must not intentionally create demand, reservations, or cancellations for abuse or manipulation.

Seatzo may expire, hide, cancel, or reject listings and exchanges when their underlying conditions are no longer valid, when a user becomes ineligible, or when security, safety, or integrity controls require it.

A Connect Pass is a digital entitlement that unlocks one Seatzo connection subject to the Service rules in effect when the connection is initiated. A Connect Pass is a platform-use entitlement; it is not a transport ticket, metro fare, physical seat, booking, reservation, or guarantee.

Seatzo may offer Connect Passes in packs with different prices and validity periods. The applicable price, quantity and expiry displayed at purchase govern that transaction. Each individual entitlement may have an expiry timestamp, and valid entitlements may be consumed according to Seatzo's displayed allocation rules.

Seatzo may reserve an entitlement when you initiate a connection and consume it only when the applicable transaction reaches the successful state. If a connection is cancelled or expires without becoming successful, Seatzo may release the reserved entitlement according to the Service's rules, subject to applicable law and any specific purchase/refund terms.

You must not attempt to duplicate, transfer, sell, reverse engineer, forge, replay, or otherwise manipulate a Connect Pass or its transaction state.

Karma is a non-cash recognition and reputation mechanism used by Seatzo to recognize eligible contributions to the community. Karma is not a bank balance, wallet, deposit, security, electronic money, payment instrument, or cash entitlement.

Seatzo may operate a monthly Karma Board and may announce rewards or vouchers for eligible positions. Reward rules, eligibility, timing, voucher provider, and reward availability may change prospectively. Rewards may be withheld, reversed, or cancelled where activity is fraudulent, automated, manipulated, duplicated, or otherwise in breach of these Terms or applicable rules.

Where paid Connect Passes or other paid features are offered, the price displayed at checkout is the price applicable to that transaction, subject to any taxes, payment-provider charges, discounts, or disclosures shown at the point of purchase.

Payments may be processed through a third-party payment provider. Seatzo may receive order, payment-status, transaction, and settlement information necessary to provide the Service, prevent fraud, reconcile purchases, and provide support. Payment credentials are handled by the applicable payment provider to the extent described in its own terms and privacy policy.

Refunds, reversals and chargebacks are handled according to the applicable purchase terms, payment-provider rules, applicable consumer law, and the circumstances of the transaction. A chargeback does not automatically create a right to retain already-received digital entitlements or other benefits.

Seatzo can facilitate an introduction between strangers in a public-transit environment. You are responsible for exercising reasonable judgment and taking care of your own personal safety.

Do not use the Service to threaten, stalk, harass, intimidate, extort, discriminate against, sexually harass, impersonate, or endanger another person. Do not disclose unnecessary sensitive information to another user. Do not enter unsafe locations or private spaces because another user requests it.

Seatzo is not an emergency-response service. In an emergency, contact the appropriate local emergency service or transit/security authority. Report safety concerns to Seatzo as soon as reasonably practical so that we can investigate and take appropriate platform action.

You must not use Seatzo to violate law or third-party rights, manipulate marketplace state, create fake listings, abuse referrals or rewards, evade account restrictions, probe or attack systems without authorization, scrape or harvest private information, distribute malware, interfere with availability, or attempt to bypass authentication, authorization, rate limits, payment controls, or transaction invariants.

Automated interaction is prohibited where it is used to impersonate genuine human activity, create artificial demand or supply, abuse rewards, overload the Service, evade controls, or gain an unfair advantage.

Security research that is expressly authorized by Seatzo and conducted under an applicable responsible-disclosure policy is not prohibited by this clause, provided the researcher remains within the authorized scope.

You remain responsible for content you submit, including profile information, seat listings, chat messages, ratings, support requests, images, and feedback ("User Content"). You grant Seatzo the limited rights necessary to host, process, display, transmit, secure, moderate and operate that User Content as part of the Service.

Do not submit content that you do not have the right to share or that is unlawful, deceptive, threatening, infringing, invasive of privacy, abusive, or otherwise prohibited by the Service rules.

Seatzo may remove, restrict, preserve, or disclose User Content where reasonably necessary to operate the Service, investigate abuse, comply with law, respond to a valid legal request, or protect users and the Service.

Seatzo processes personal information in accordance with its Privacy Policy. The Privacy Policy explains the categories of information we process, purposes, disclosures, retention, security measures and applicable user rights.

Some Seatzo features depend on information such as your mobile number, profile, travel context, device/session information, and in some cases location. Certain information is necessary to provide particular features or protect the integrity of the Service.

The Service, including Seatzo branding, software, visual design, text, interfaces, logos and other original materials, is owned by or licensed to SEATZO INNOVATION LABS PRIVATE LIMITED and is protected by applicable intellectual-property laws.

Except as expressly permitted, you may not copy, modify, distribute, sell, lease, reverse engineer, decompile, create derivative works from, frame, mirror, or commercially exploit any part of the Service.

Seatzo may depend on third-party infrastructure and service providers, including authentication, payment, hosting, email, push-notification, analytics or other technology providers. Those services may be governed by additional terms or privacy policies.

Seatzo is not responsible for independent failures of a third-party service outside Seatzo's reasonable control, although we will take reasonable steps to restore or replace essential functionality where appropriate.

Seatzo is continuously developed. Features may be introduced, changed, suspended, deprecated, rate-limited, or removed. Availability may be affected by network failures, transit disruptions, maintenance, security incidents, provider outages, or events beyond reasonable control.

We may apply technical limits to protect fairness, availability, security, or system integrity. You must not attempt to circumvent such limits.

Seatzo may suspend, restrict, or terminate an account or feature where reasonably necessary to prevent abuse, protect users, investigate fraud, enforce these Terms, comply with law, respond to security incidents, or protect the Service.

Where appropriate and feasible, Seatzo may provide a reason and a route to request review. Some restrictions may be applied without prior notice where delay could increase risk or violate a legal/security requirement.

Sections concerning payment obligations, intellectual property, privacy, prohibited conduct, disclaimers, liability and dispute resolution may survive termination to the extent legally necessary.

To the maximum extent permitted by applicable law, the Service is provided on an "as available" basis. Seatzo does not warrant uninterrupted availability, that every listing will be accurate, that a physical seat will remain available, or that every connection will complete successfully.

Seatzo does not guarantee the conduct, identity, availability, safety, statements, or future actions of another user. You remain responsible for decisions you make in the physical world.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including any mandatory consumer protection or other statutory rights that apply to you.

To the extent permitted by law, Seatzo will not be liable for indirect, incidental, special, consequential, exemplary, or loss-of-profit damages arising from use of the Service. Any limitation of liability is subject to mandatory rights and remedies under applicable law.

Nothing in these Terms is intended to make you waive a statutory remedy that cannot lawfully be waived.

To the extent permitted by law, if your unlawful conduct, fraud, intentional misuse, or material breach of these Terms causes a third-party claim, regulatory action, or direct loss to Seatzo, Seatzo may seek appropriate remedies available under law.

This clause does not require you to indemnify Seatzo for matters caused solely by Seatzo's own unlawful conduct or for any liability that cannot lawfully be shifted to you.

These Terms are intended to be governed by the laws of India, subject to mandatory rights and protections applicable to you.

Seatzo will aim to resolve complaints through its Support channel first. Nothing in this clause prevents you from approaching a competent authority, consumer forum, court, or other statutory body where applicable law gives you that right.

The exact court jurisdiction and any additional dispute-resolution process will be stated in a future updated version if the company's legal advisers adopt a more specific mechanism.

We may update these Terms when the Service, law, business model, or security requirements change. We will publish the updated version with a revised "Last updated" date.

Where a change is material and applicable law requires a specific notice or consent mechanism, Seatzo will use the applicable mechanism. Continued use after an effective update may constitute acceptance only to the extent permitted by applicable law.
